1. Agreement to Terms

By accessing or using Homebassador ("the Platform", "the Service"), operated by Hudson Marketing Partnership Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

2. Description of Service

Homebassador is a digital marketplace platform that connects REALTORS® with Calgary-area builders to facilitate access to:

Quick possession home listings and inventory
Builder incentives and commission information
Builder contact information and sales team details
Community and product information
Home specifications, pricing, and availability

The Platform serves as an informational and connection tool between REALTORS® and builders. We do not act as a real estate broker, agent, or salesperson, and we do not facilitate real estate transactions directly.

3. User Accounts

3.1 Account Registration

To access certain features of the Platform, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and update your account information to keep it accurate
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

3.2 User Roles

The Platform supports different user roles including REALTORS®, Builders, Area Managers, and Administrators. Your access and permissions are determined by your assigned role. You agree to use the Platform only in accordance with your assigned role and not to misrepresent your identity or role.

4. Acceptable Use

You agree not to:

Use the Platform for any illegal or unauthorized purpose
Violate any applicable laws or regulations
Infringe upon the intellectual property rights of others
Transmit any viruses, malware, or harmful code
Attempt to gain unauthorized access to the Platform or related systems
Use automated systems (bots, scrapers) to access the Platform without permission
Interfere with or disrupt the Platform's operation
Harvest or collect information about other users without consent
Impersonate any person or entity or misrepresent your affiliation
Use the Platform to spam, harass, or harm others

5. Content and Information

5.1 Platform Content

All content provided on the Platform, including but not limited to home listings, builder information, text, graphics, logos, and software, is the property of Homebassador or its content providers and is protected by copyright and other intellectual property laws.

5.2 User-Generated Content

If you submit content to the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute such content for the purpose of operating and promoting the Platform.

5.3 Information Accuracy

While we strive to provide accurate and up-to-date information, we do not guarantee the accuracy, completeness, or timeliness of any information on the Platform. Home listings, pricing, availability, and builder information are provided by third parties (builders) and may change without notice. You should verify all information directly with builders before making any decisions.

6. Real Estate Transactions

Homebassador is an informational platform only. We do not:

Act as a real estate broker, agent, or salesperson
Facilitate or participate in real estate transactions
Guarantee the availability of any listed properties
Warrant the condition, quality, or suitability of any properties
Provide legal, financial, or real estate advice

All real estate transactions are conducted directly between REALTORS®, their clients, and builders. We are not a party to any such transactions and assume no liability for them.

7. Privacy

Your use of the Platform is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by Hudson Marketing Partnership Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUDSON MARKETING PARTNERSHIP INC. AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.

11. Indemnification

You agree to indemnify and hold harmless Hudson Marketing Partnership Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, violation of these Terms, or infringement of any rights of another.

12. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, for any reason including violation of these Terms. Upon termination, your right to use the Platform will immediately cease.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.

16. Entire Agreement
